Urgent Update: Federal BOI Reporting Requirements Removed for U.S. Businesses! To all U.S. business owners and LLC founders, please be advised of a critical change regarding the Corporate Transparency Act (CTA) and Beneficial Ownership Information (BOI) reporting. As of March 26, 2025, the Financial Crimes Enforcement Network (FinCEN) has officially removed the requirement for U.S. companies and U.S. persons to report Beneficial Ownership Information. This means that if your business is a U.S. entity, you are now exempt from federal BOI reporting to FinCEN. The updated regulations now define a 'reporting company' solely as foreign entities registered to do business in the U.S. These foreign reporting companies have new deadlines: those registered before March 26, 2025, must file by April 25, 2025, and those registered on or after March 26, 2025, have 30 days from their registration notice to file. Important State-Level Note: While federal requirements for U.S. businesses have been lifted, it is essential to check for state-specific BOI or ownership disclosure laws. States like New York, South Dakota, and the District of Columbia have their own regulations that may still apply to your business. FinCEN's secure electronic filing system for BOI reports has been available since January 1, 2024, for any entities still required to file.
