BOI compliance checklist for new LLC owners
New U.S. LLC owners (domestic LLCs) generally do not need to file BOI reports with FinCEN under the March 2025 interim final rule.
However, maintain internal beneficial ownership records, monitor for triggering events (foreign registration, conversions, losing an exemption), and be ready to file if your entity is a foreign reporting company.
For foreign entities registered in the U.S., follow the new IFR deadlines and gather the required company and beneficial owner information for electronic filing through FinCEN’s secure e-filing system.
