Subject: BOI updates monitoring system. Dear US Business Owner/LLC Founder, FinCEN has issued an interim final rule (effective March 26, 2025) that significantly narrows the scope of Beneficial Ownership Information (BOI) reporting.
Most domestic U.S. entities and U.S. persons are now exempt from BOI reporting to FinCEN. However, foreign entities registered to do business in a U.S.
State or Tribal jurisdiction are still required to report. Key Changes & Actions: Domestic Entities: Currently exempt from FinCEN BOI reporting.
Foreign Entities: Must report beneficial ownership information to FinCEN. Deadlines: Foreign entities registered before the IFR's publication (March 26, 2025) had until April 25, 2025, to file.
New foreign registrations have 30 days from effective registration. Updates/corrections are also due within 30 days.
How to File: Use the official FinCEN BOI E-Filing System and consider obtaining a FinCEN ID. Stay Vigilant: This is an interim rule.
Continue to monitor FinCEN for final rulemaking and potential changes. Maintain internal BOI records for future compliance.
